These Terms of Use (these “Terms”) govern your access to and use of cobalira.com (the “Site”), which is operated by Cobalira Holdings LLC, a Wyoming limited liability company (“Cobalira,” “we,” “us” or “our”). By accessing or using the Site, you agree to be bound by these Terms, our Privacy Policy and our Important Disclosures, which are incorporated into these Terms. If you do not agree, do not use the Site.

1. Purpose of the Site

The Site provides general information about Cobalira, its approach to acquiring and owning established businesses, and topics of interest to business owners considering a sale. The Site is provided for informational purposes only.

2. No Offer of Securities

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or any interest in Cobalira or in any company that Cobalira owns or may acquire. Any such offer, if made, will be made only through definitive offering documents delivered to qualified persons in compliance with applicable securities laws. Content on the Site, including the Owner’s Guide, is general information and is not legal, tax, accounting, financial or investment advice. You should consult your own advisors about your circumstances. Your use of the Site does not create an advisory, brokerage, fiduciary or other professional relationship between you and Cobalira.

5. Information You Submit

By submitting information through the Site or by email, you represent that you have the right to share it with us. We treat information about a business that you send us as confidential and use it to evaluate a potential transaction as described in our Privacy Policy. Please do not send detailed financial statements or customer information until a non-disclosure agreement has been signed. Submitting information does not obligate us to respond, to review a business or to pursue any transaction, and you acknowledge that we may evaluate and acquire businesses that are similar to or compete with yours, provided that we do not use confidential information you have shared with us in breach of these Terms or any non-disclosure agreement between us.

6. Intellectual Property

The Site and its content, including text, graphics, logos and design, are owned by Cobalira or its licensors and are protected by intellectual property laws. The Cobalira name and logo are trademarks of Cobalira. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use. You may not copy, reproduce, distribute, modify, create derivative works from or publicly display any part of the Site without our prior written permission, except that you may download and share our acquisition criteria sheet in unmodified form.

7. Acceptable Use

You agree not to use the Site to violate any law or the rights of others; submit false or misleading information; attempt to gain unauthorized access to the Site or to any system or network connected to it; use any robot, scraper or other automated means to access or collect content from the Site; introduce viruses or other harmful code; or interfere with the proper operation of the Site.

Statistics and research attributed to third parties are provided as published by those sources, and statements about our plans and approach reflect our current intentions, which may change without notice.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COBALIRA AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Cobalira and its members, managers, officers, employees and agents from any claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Site.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time by posting the updated version on the Site and changing the effective date above. Your continued use of the Site after an update means you accept the updated Terms.

14. General

These Terms, our Privacy Policy and our Important Disclosures are the entire agreement between you and Cobalira regarding the Site. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them without restriction.
